Beta Tester Agreement
Non-disclosure agreement for Clean-Fi pre-release software · Version 1.1 · Last updated November 3, 2026
Who this is between
This Agreement is between Cody Meras, doing business as PokeDad, in Menifee, California (“Company”), and the person who applies to test Clean-Fi and agrees to it (“Tester”). Tester agrees by ticking the box on the beta sign-up form and submitting it. That has the same effect as signing, and the date the form is submitted is the “Effective Date”. Company is developing a Windows application called Clean-Fi and wants Tester to try a pre-release version and give feedback. In exchange for access to that pre-release version, Tester agrees to the following. If Company doesn't pick Tester for the beta, Tester receives nothing under this Agreement and it asks nothing of Tester.
1. The Beta
“Beta” means any pre-release version of Clean-Fi that Company provides to Tester, including the software file, any download link, installation files, tester guides, and documentation.
2. Confidential Information
“Confidential Information” means the Beta and all non-public information about it or about Company that Tester receives or observes, including its features, design, user interface, how it works, test results, performance data, error messages, screenshots, videos, pricing, release plans, and business plans.
Confidential Information does not include information that Tester can show (a) is or becomes public through no fault of Tester; (b) Tester already knew before receiving it, without a duty of confidentiality; (c) Tester received from someone else who had the right to share it; or (d) Tester developed independently without using Confidential Information.
3. What Tester agrees to do
- Keep all Confidential Information private and use it only to test the Beta and give feedback to Company.
- Not share, send, upload, post, or show the Beta, its download link, or any Confidential Information to anyone else, including on social media, forums, Discord, Reddit, YouTube, or streaming services, without Company’s written permission.
- Not take or share screenshots, screen recordings, photos, or videos of the Beta except when sending them privately to Company as feedback.
- Install the Beta only on computers Tester owns or is authorized to use, and make changes only to networks and routers Tester owns or is authorized to manage.
- Not copy, modify, decompile, disassemble, reverse engineer, or try to extract the source code of the Beta, or remove any notices from it.
- Tell Company promptly if Tester learns of any unauthorized use or sharing of the Beta.
4. Limited permission to use the Beta
Company grants Tester a personal, non-exclusive, non-transferable, revocable permission to install and use the Beta solely for testing until the Beta expires or Company ends the test. Company keeps all ownership, copyright, and other rights in Clean-Fi and the Beta. Nothing in this Agreement transfers any of those rights to Tester.
5. Feedback
Tester may give Company feedback, suggestions, bug reports, and test reports (“Feedback”). Company may use, change, and share Feedback for any purpose without paying or crediting Tester, and Tester assigns to Company any rights Tester has in Feedback. Tester will not include anyone else’s confidential information in Feedback.
6. No warranty; use at your own risk
The Beta is unfinished and may contain errors. It is provided “AS IS,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. The Beta changes computer and network settings; Tester uses it at Tester’s own risk. To the fullest extent permitted by law, Company is not liable for any indirect, incidental, special, or consequential damages, or for any loss of data, connectivity, or use, arising from the Beta, and Company’s total liability under this Agreement will not exceed $50.
7. How long this lasts
Tester’s confidentiality obligations last for two (2) years from the Effective Date, or until Company makes the information public, whichever comes first. Tester’s permission to use the Beta ends when the Beta expires, when Company asks, or when Clean-Fi is publicly released, whichever comes first.
8. Returning or deleting the Beta
When Tester’s permission ends, or whenever Company asks, Tester will delete all copies of the Beta and any Confidential Information in Tester’s possession, and confirm the deletion if Company asks.
9. Remedies
Unauthorized sharing of Confidential Information could cause Company harm that money alone cannot fix. Company may seek a court order to stop or prevent a breach, in addition to any other remedies available by law.
10. Free Pro license; no other payment
If Tester sends Company a test report during the Beta, Company will email Tester a free Clean-Fi Pro license if and when Clean-Fi is publicly released. Company is not required to release Clean-Fi or to use any Feedback. Apart from that license, Tester is volunteering and is not entitled to payment or other compensation unless Company agrees to it in writing. This Agreement does not create an employment, partnership, or agency relationship.
11. General
This Agreement is governed by the laws of the State of California, without regard to its conflict-of-law rules, and any dispute will be resolved in the state or federal courts located in Riverside County, California. This Agreement is the entire agreement between the parties about the Beta and can be changed only in writing agreed by both parties, which may be by email. If any part is found unenforceable, the rest stays in effect. Company may assign this Agreement to a business entity that acquires or succeeds to Clean-Fi, including a limited liability company formed by Company’s owner. Company keeps a record of each sign-up form, including the date it was submitted and the version of this Agreement it agreed to.
